Terms of Service

These terms govern your use of CREdili's platform and services. Please read carefully — using CREdili means you agree to them.

Not legal advice. CREdili provides software and transaction coordination and connects you with licensed professionals. CREdili is not a law firm; the licensed attorneys engaged through the platform represent you, not us.

1. Acceptance

By creating an account or using the Services, you agree to be bound by these Terms and by our Privacy Notice. If you use the Services for an entity, you represent that you have authority to bind that entity.

2. The Services

CREdili provides a workspace, tooling, and coordination services for commercial real estate transactions, including CREdili Counsel AI, an assistant that composes draft analysis of documents you provide. Draft output is always reviewed by a licensed attorney before you rely on it.

4. Retainer & fees

To open a deal you fund a retainer. CREdili draws from the retainer as work is performed and as third-party costs are incurred at cost. Unused funds remain yours and are refundable on request, less any amounts owed. A running ledger is available in your workspace.

5. Third-party professionals

Attorneys, inspectors, title agents, and other professionals engaged through CREdili work under their own engagement letters with you. CREdili facilitates the engagement but is not responsible for their professional judgment or work product.

6. Your content

You retain ownership of documents you upload. You grant CREdili a limited license to host, process, and display them to operate the Services (including running Counsel AI). We do not use your deal content to train foundation models for other customers.

The Services are provided "as is" and "as available." CREdili disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. AI-generated analysis is a draft and may contain errors — always confirm with your attorney and advisor.

9. Limitation of liability

To the maximum extent permitted by law, CREdili's aggregate liability for any claims arising out of the Services will not exceed the greater of the fees paid to CREdili in the six months preceding the claim or US$100. In no event will CREdili be liable for indirect, consequential, incidental, or punitive damages.

10. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Disputes will be resolved exclusively in the state or federal courts located in Delaware.
